Terms of Service Agreement

1. Introduction

By using CarbonRunner, a product offered by Fika Studio Limited Ltd, 48 Queengate House, Queen Street, Exeter, EX4 3SR, United Kingdom, you agree to the terms outlined in this Terms of Service Agreement. If you do not agree, you may not access or use the Service.

2. Definitions

Service: The website https://carbonrunner.io, its APIs, CLI tools, GitHub Actions integrations, any subdomains, and cloud infrastructure.

You, User, Customer: Any individual, business, or organization using or intending to use CarbonRunner.

User Content: “User Content” refers to any data, information, files, code, configurations, documents, text, graphics, photos, software, or other materials that You upload, submit, transmit, store, or otherwise make available through the CarbonRunner Service. This includes content generated or processed by GitHub, Gitlab and GitHub Actions that are relayed to the CarbonRunner Service.

3. Acceptance of Terms

By accessing or using CarbonRunner, you accept and agree to these Terms and any referenced policies. If you act on behalf of an entity, you confirm you are authorized to bind that entity to this Agreement.

4. Fair Usage & Unauthorized Use Policy

We reserve the right to restrict or terminate access for activities including but not limited to:

  • Excessive compute usage outside fair plan limits.
  • Cryptocurrency mining or unrelated compute-heavy workloads.
  • Using fraudulent or suspicious payment methods.
  • Reselling or redistributing CarbonRunner access or compute to third parties.
  • Illegal activity under the laws of the UK, EU, your local jurisdiction, or where CarbonRunner operates.
  • Denial-of-service attacks or malicious traffic generation.
  • Reverse engineering or tampering with CarbonRunner systems.
  • Hosting or distributing discriminatory, hateful, or illegal content.
  • Violations may result in immediate termination and data deletion. We may investigate any usage, respecting our Privacy Policy.

5. Accounts

To use the Service, you must create an account and may be required to:

  • Connect a supported Git repository provider (e.g. GitHub).
  • Enter accurate contact details and billing information.
  • Link a valid payment method (e.g. via Stripe) or enterprise billing agreement.

You are responsible for securing your credentials. Misuse or fraudulent use may result in account suspension.

By providing payment information, You authorize us to charge Your credit card for usage fees or, in the case of invoice-based contracts, agree to make timely payments as specified in the invoicing terms.

We reserve the right to cancel or revoke Your CarbonRunner account without prior discussion if deemed necessary for reasons including but not limited to security concerns, fraud prevention, or abuse of the Service. This decision will not impact Your separate contractual relationship with Stripe.

6. Security

CarbonRunner implements administrative and technical safeguards aligned with industry best practices. However, we cannot guarantee absolute protection from unauthorized access. You are responsible for keeping your credentials confidential.

We commit to notifying you within 72 hours of any unauthorized access or data breach that affects your account or User Content.

7. Copyright & Intellectual Property

7.1. Ownership

All trademarks, logos, service marks, brand features, and code used in CarbonRunner are owned by Fika Studio Limited. You may not copy or reuse any portion without express permission.

7.2. License to User Content

You grant CarbonRunner a limited, revocable, non-exclusive license to access, use, and process your User Content solely to:

  • Execute your CI/CD workflows.
  • Operate and improve the Service.

We do not:

  • Use your code or content for AI/ML training.
  • Store your code beyond the execution window.

You retain ownership of your code and may revoke this license at any time by deleting your account or disconnecting your integration.

8. Service Availability

We aim for maximum uptime using robust cloud infrastructure, but cannot guarantee uninterrupted service. Any outages will be posted to status.carbonrunner.io. Third-party outages (e.g. GitHub) may impact the Service.

9. Warranty Disclaimer

The Service is provided “as is” and “as available,” with no warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. You use the Service at your own risk.

10. Limitation of Liability

To the extent permitted by law, Fika Studio Limited and its affiliates will not be liable for:

  • Loss of profits, data, use, or goodwill.
  • Indirect or consequential damages.
  • Service outages due to upstream providers.
  • Errors in user-generated scripts or third-party actions.

If you have disputes with others related to the Service, you release Fika Studio Limited. from any claims arising from those interactions.

11. Modifications

We may update these Terms at any time. Continued use of the Service indicates acceptance. We will notify you of material changes via email or a notice on our website.

12. General Terms

This Agreement is governed by the laws of England and Wales.

  • You must bring any claim within 12 months of the cause of action.
  • If any provision is invalid, the rest remain in effect.
  • Fika Studio Limited may assign these Terms; you may not without written consent.
